These Terms of Service (“Terms”) govern your access to and use of CodeReviewer, including the website at codereviewer.cloud, the web application and related services (together, the “Service”). The Service is provided by Techware Lab (“Techware Lab”, “we”, “us”), 3103 Latifa Towers, Sh. Zayed Road, PO Box 282893, Dubai, United Arab Emirates.
By creating a workspace, installing our GitHub App or otherwise using the Service, you agree to these Terms on behalf of yourself and the organisation you represent (“Customer”, “you”). If you do not agree, do not use the Service.
1. The Service
CodeReviewer reviews pull requests, proposes and applies code fixes, authors and replays automated tests, runs security and performance checks, and tracks delivery against specifications. Features differ by plan, as described on our pricing page or in your order form.
We may improve, change or retire features over time. If a change materially reduces the core functionality of a paid plan during a subscription term, we will give you reasonable notice.
2. Accounts and workspaces
- You must give accurate information when you create an account and keep your sign-in credentials secure.
- Workspace administrators control who is invited, their roles and their permissions. You are responsible for the actions of users you invite.
- You must be old enough to form a binding contract where you live, and in any case at least 18.
3. Trials and plans
New workspaces may start with a free trial of limited duration. When the trial ends, continued use needs a paid plan. Plan allowances, such as reviews, fixes and test authorings, are counted per developer and pooled across the workspace unless your order form says otherwise. Unused allowance does not carry over.
4. Fees and payment
Fees are set out on the pricing page or in your order form. We invoice them, and they are payable within the period stated on the invoice. Fees exclude taxes, which you are responsible for, other than taxes on our income. We may change prices for a future renewal term by giving you notice before that term starts.
5. Your content
“Customer Content” means source code, pull requests, issues, specifications, test credentials, application URLs, database connection details and any other material you or your users submit to the Service, or let the Service access.
- Ownership. You keep all rights in your Customer Content.
- Licence to us. You grant us a limited licence to access, copy, process and store Customer Content only as needed to provide, secure and support the Service for you.
- Your changes. Fixes, tests and other output the Service produces for you are yours to use, subject to any third-party rights in your own code.
- Responsibility. You are responsible for having the rights needed to submit Customer Content and to authorise the Service to act on your repositories, applications and databases.
6. Acceptable use
You must follow our Acceptable Use Policy. In particular, active security scans may only target domains you own or are authorised to test and have verified in the Service.
7. Automated output
The Service uses automated analysis, including AI, to produce review comments, fixes, tests, threat models and reports. This output may be incomplete or wrong. Review it before relying on it, especially before merging changes or acting on security findings. Features that merge or apply changes automatically only act when you have enabled them, and on the rules you configure.
8. Third-party services
The Service works with third-party platforms you connect, such as GitHub. Your use of those platforms is governed by their own terms. We are not responsible for third-party platforms or for changes they make that affect the Service.
9. Confidentiality and security
Each party will protect the other’s confidential information with reasonable care and use it only to perform under these Terms. Our Trust & security page describes how we protect Customer Content. Where we process personal data on your behalf, our Data Processing Addendum applies.
10. Suspension
We may suspend access if you breach these Terms or the Acceptable Use Policy, if payment is seriously overdue, or if your use puts the Service or others at risk. Where practical, we will tell you first and give you a chance to fix the problem.
11. Term and termination
These Terms apply for as long as you use the Service. Either party may terminate for material breach that is not cured within 30 days of notice. You may stop using the Service at any time. After termination, you may ask us to export or delete your Customer Content by contacting support@codereviewer.cloud.
12. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided “as is”. We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will find every defect or vulnerability.
13. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each party’s total liability under these Terms is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations or to either party’s liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify us against third-party claims arising from your Customer Content, or from security testing you direct against systems you are not authorised to test.
15. Governing law
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction, unless your order form says otherwise.
16. Changes to these Terms
We may update these Terms. If a change is material, we will give reasonable notice by email or in the Service before it takes effect. If you keep using the Service after that date, you accept the updated Terms.
